Agreement to Terms
By engaging COCONEEKI(Uneekycreative LLC) for graphic design services, you ("Client") agree to be bound by these Terms & Conditions. Please read them carefully before proceeding with any project.
1. Services
COCONEEKI provides graphic design services as outlined in individual project contracts. The scope of work, deliverables, timeline, and pricing will be detailed in each signed contract.
2. Payment Terms

Full payment is required upfront before any design work begins

Payment is due immediately upon contract signing or within 3 business days

Accepted payment methods will be specified in your contract

All prices are in USD

Additional services beyond the original scope may incur extra fees
Rush Fee Policy:
If you require expedited delivery or a faster turnaround than the standard timeline, a rush fee will apply. Rush fees are determined based on:

The urgency of the request
-
The complexity of the project
-
Current workload and availability
Rush fees must be agreed upon in writing and paid in addition to the standard project cost before expedited work begins. Rush requests are subject to availability and are not guaranteed.
3. Project Timeline

After our monthly meeting to discuss the scope of your project, you will receive an estimated timeline

Timeline estimates are not guarantees and may be subject to change based on project complexity, client responsiveness, or unforeseen circumstances

Delays caused by late client feedback, missing materials, or approval delays may extend the project timeline
4. Client Responsibilities
To ensure timely project completion, clients must provide:

Business assets (logos, images, fonts, etc.) if they want them incorporated into the design
-
Brand guidelines if available (if not, we will discuss branding during our initial consultation)
-
Timely feedback and approvals during revision rounds
-
Clear communication regarding project requirements and expectations
Failure to provide necessary materials or feedback may result in project delays or additional charges.
5. Revisions

The number of revision rounds is based on your selected package

Revisions must be requested within the agreed-upon revision period
-
Major scope changes beyond the original contract may require additional payment
-
After all revisions are complete and final files are delivered, the project is considered closed
6. Intellectual Property & Copyright Ownership
Client Ownership:
Upon full payment and delivery of final files, the Client owns the final approved designs for their intended use as outlined in the contract.
COCONEEKI Portfolio Rights:
Unless explicitly stated otherwise in the contract, COCONEEKI retains the right to:

Use completed work in portfolio

Showcase work in case studies
-
Display work on our website and social media for promotional purposes

Include work in marketing materials
If you require confidentiality or exclusion from our portfolio, this must be agreed upon in writing before the project begins.
Restricted Use:
Designs are for the Client's use only as specified in the contract.
7. File Delivery
Upon project completion, COCONEEKI will deliver final files in the following formats as applicable to your project:

JPG
-
PDF
-
AI (Adobe Illustrator)
-
PSD (Adobe Photoshop)
-
FBX
-
OBJ
Additional file formats may be available upon request and may incur extra fees.
8. Limitation of Liability
Client Use of Designs:
COCONEEKI is not liable for how the Client uses, modifies, or distributes the final designs after project completion. This includes but is not limited to:

Legal issues arising from Client's use of the designs
-
Loss of revenue or business opportunities
-
Third-party claims related to the designs
-
Misuse or unauthorized distribution by the Client
Project Samples:
Any mockups, drafts, or samples provided during the project process are for preview purposes only. COCONEEKI is not responsible for issues arising from the use of incomplete or unapproved designs.
Accuracy of Client-Provided Materials:
The Client is responsible for the accuracy and legality of all content, images, and materials provided to COCONEEKI. COCONEEKI assumes no liability for copyright infringement, trademark violations, or other legal issues resulting from Client-provided materials.
9. Cancellations & Refunds
Please refer to our Refund & Cancellation Policy for full details. In summary:

Full refund if canceled before work begins

50% refund if canceled after work begins
-
No refund after final files are delivered
-
COCONEEKI reserves the right to terminate any contract with a full refund
10. Confidentiality
COCONEEKI respects client confidentiality and will not share sensitive business information with third parties, except as required by law or as necessary to complete the project (e.g., with subcontractors or service providers).
11. Use of Subcontractors
COCONEEKI reserves the right to use qualified subcontractors or third-party service providers to complete certain aspects of a project. All subcontractors will be held to the same standards of quality and confidentiality as COCONEEKI. The Client will be notified if subcontractors are used, and COCONEEKI remains fully responsible for the quality and delivery of all work.
12. Force Majeure
COCONEEKI shall not be held liable for any delay or failure to perform services due to circumstances beyond our reasonable control, including but not limited to:

Acts of God (natural disasters, fires, floods, earthquakes)

War, terrorism, or civil unrest
-
Government actions or regulations
-
Pandemics or public health emergencies
-
Power outages, internet service disruptions, or technical failures
-
Any other unforeseen events that prevent timely project completion

In the event of a force majeure situation, COCONEEKI will make reasonable efforts to notify the Client as soon as possible and resume work when circumstances allow. Project timelines may be extended accordingly without penalty.
13. Termination
Either party may terminate the contract in accordance with the Refund & Cancellation Policy. COCONEEKI reserves the right to terminate services if:

The Client fails to provide necessary materials or feedback

Payment is not received as agreed
-
The Client engages in abusive, disrespectful, or unethical behavior
14. Dispute Resolution
Governing Law:
These Terms & Conditions are governed by the laws of the State of Nevada, USA.
Jurisdiction:
Any disputes arising from these terms or services provided by COCONEEKI will be resolved in the state or federal courts located in Clark County, Nevada.
Good Faith Resolution:
Before pursuing legal action, both parties agree to attempt to resolve disputes through good faith negotiation.
15. Modifications to Terms
COCONEEKI reserves the right to update or modify these Terms & Conditions at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services constitutes acceptance of the modified terms.
